1. ACCEPTANCE OF THESE TERMS
These Terms of Use ("Terms") form a legal agreement between you ("you," "your,"
or "User") and Llaps Digital ("we," "us," or "our") governing your access to and
use of the ResiGuard mobile application (the "App"), including all features,
functionality, content, and services made available through it.
By downloading, installing, accessing, or using the App, you confirm that you
have read, understood, and agree to be bound by these Terms and by our Privacy
Policy, which is incorporated by reference. If you do not agree, do not download,
access, or use the App.
If you use the App on behalf of an organization, company, building, or other
entity, you represent that you are authorized to accept these Terms on that
entity's behalf, and "you" refers to both you individually and that entity.

2. ELIGIBILITY
You must be at least 16 years old (or the minimum age of digital consent in your
jurisdiction) and capable of forming a binding contract to use the App. The App
is intended for business, professional, and operational use in connection with
the management of residential sites, buildings, facilities, security
operations, and related workflows. By using the App you represent that you meet
these requirements.

3. THE APP
ResiGuard is a native iOS security and site operations platform that runs
primarily on your device using Apple frameworks. Its core purpose is to help you
run security and site operations for residential sites, buildings, and
facilities, including:
- Security patrols, patrol tours, and checkpoints;
- Logging and management of incidents, visitors, shifts, and security teams;
and
- Operational reminders and post-onboarding follow-ups.
To support these security and site operations, the App also provides:
- Onboarding and setup wizards for configuring organizations, buildings,
units, residents, vendors, personnel, assets, amenities, common areas,
shifts, and patrols, including bulk import.
- Organizations, membership, and role-based access control, including
inviting and managing members, assigning permissions, transferring
ownership, and activity logs.
- Optional on-device face enrollment and recognition (where enabled) using
the device camera and Apple's Vision framework to assist with
identity-related workflows such as personnel or visitor verification.
- Dashboards and reporting derived from your data.
- Optional synchronization and sharing across your devices and with other
members via Apple's iCloud/CloudKit, including background sync, conflict
resolution, and storage management.
Availability of specific features depends on your configuration and edition. We
may add, modify, or remove features at any time. Some functionality requires
specific device capabilities (such as a camera or location services), an Apple
ID / iCloud account, network connectivity, or appropriate permissions, and may
not be available in all editions or regions.

4. LICENSE GRANT
Subject to your compliance with these Terms, we grant you a limited,
non-exclusive, non-transferable, non-sublicensable, revocable license to
download and use the App on Apple devices that you own or control, solely for
your lawful internal business, professional, or personal operational purposes.
This is a license, not a sale. We and our licensors retain all right, title, and
interest in and to the App.

5. ACCOUNTS, ICLOUD, AND DEVICE FEATURES
The App runs primarily on your device. Certain features rely on services and
capabilities provided by Apple and by your device, including:
- Apple ID / iCloud and CloudKit for optional sync and sharing. Your use of
these services is also subject to Apple's terms. We do not operate the
iCloud servers and are not responsible for their availability.
- Device camera, photo library, location services, and similar
capabilities, which the App accesses only after you grant the relevant
permission. You can manage these permissions in your device settings, and
disabling them may limit related features.
You are responsible for maintaining the security of your device, Apple ID, and
any passcodes or biometric protections, and for all activity that occurs through
your device and accounts.

6. YOUR DATA AND CONTENT
"Your Content" means all data, information, configurations, forms, submissions,
photos, signatures, scanned codes, documents, location data, records of
residents, personnel, visitors, vendors, incidents, patrols, and other content
that you or your organization's members create, upload, capture, or store using
the App.
a. Ownership. As between you and us, you (and/or your organization) own Your
Content. We do not claim ownership of it.
b. Responsibility. You are solely responsible for Your Content and for the
accuracy, legality, and appropriateness of the information you collect and
store, including obtaining any consents and notices required to capture or
process information about other people (for example, residents, visitors,
personnel, or individuals whose images are used for face enrollment or
recognition).
c. Storage and Loss. Your Content is stored on your device and, if you enable
it, in your iCloud account. We do not operate servers that receive Your
Content. You are responsible for maintaining your own backups. We are not
responsible for any loss, corruption, or deletion of Your Content,
including loss resulting from device failure, deletion of the App, sync
conflicts, or changes to your Apple ID / iCloud account.
d. Privacy. Our handling of information is described in the Privacy Policy.
Please review it to understand how the App and any third-party services
operate with respect to data.

7. ACCEPTABLE USE
You agree not to, and not to permit any member or third party to:
- Use the App in violation of any applicable law or regulation, including
data protection, privacy, surveillance, biometric, labor, and security
laws.
- Capture, store, or process information about any individual without all
legally required notices, consents, and authority, including for face
enrollment/recognition, photographs, signatures, location, or visitor and
personnel records.
- Use the App to harass, stalk, surveil, profile, or discriminate against any
person unlawfully.
- Upload or store content that is unlawful, infringing, defamatory, or
malicious, or that contains malware.
- Reverse engineer, decompile, disassemble, modify, or create derivative
works of the App, except to the extent such restriction is prohibited by
applicable law.
- Circumvent, disable, or interfere with security, access controls,
permissions, licensing, or any limitations of the App.
- Resell, rent, lease, sublicense, or otherwise commercially redistribute the
App except as expressly permitted.
- Use the App in any way that could damage, disable, or impair it or any
connected services, or interfere with any other user's use.
You are responsible for the conduct of all members you invite to your
organization and for ensuring their use of the App complies with these Terms.

8. FACE RECOGNITION AND BIOMETRIC DATA
If you choose to use face enrollment or recognition features, you acknowledge
that facial images and any derived templates may constitute sensitive or
biometric information under certain laws. You are solely responsible for
determining whether your use is lawful in your jurisdiction and for obtaining all
required consents and providing all required disclosures to affected individuals.
You agree to use these features only for legitimate, authorized purposes, to
retain such data no longer than necessary, and to delete it when no longer
needed. We provide these features as tools only and do not assume any controller
or processor obligations on your behalf.

9. THIRD-PARTY SERVICES AND ADVERTISING
The App may rely on or interact with third-party services, including Apple
iCloud/CloudKit and, where applicable, advertising services such as Google
AdMob. Your use of those services is governed by their respective terms and
privacy policies. We do not control and are not responsible for third-party
services, their availability, or their data practices. Please refer to the
Privacy Policy for more detail on third-party advertising and data collection.

10. INTELLECTUAL PROPERTY
The App, including its software, design, user interface, templates, sample
processes and forms, text, graphics, logos, and the "ResiGuard" name, is owned
by Llaps Digital or its licensors and is protected by intellectual property and
other laws. Except for the limited license granted in these Terms, no rights are
granted to you. You may not use our names, logos, or trademarks without our prior
written permission. Feedback you choose to provide may be used by us without
restriction or obligation to you.

11. FEES
Unless otherwise stated at the point of download or within the App, the App is
provided without charge by Llaps Digital. If any paid features, subscriptions, or
in-app purchases are offered, the applicable pricing and additional terms will be
disclosed at the time of purchase, and purchases are processed and governed by
Apple's App Store terms. Any applicable third-party service costs (such as iCloud
storage) are your responsibility.

12. AVAILABILITY AND CHANGES
We may update, modify, suspend, or discontinue the App or any of its features at
any time, with or without notice. Because core functionality runs on your device,
some features may continue to operate offline, while features that depend on
network connectivity, iCloud, or third-party services may be unavailable from
time to time. We do not guarantee that the App will be uninterrupted,
error-free, secure, or compatible with future device or operating system
versions.

13. DISCLAIMER OF WARRANTIES
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND,
WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND
NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS,
THAT WORKFLOWS, FORMS, REPORTS, RECOGNITION RESULTS, OR SYNCHRONIZATION WILL BE
ACCURATE OR RELIABLE, OR THAT THE APP IS SUITABLE FOR ANY SAFETY-CRITICAL,
LIFE-SAFETY, OR EMERGENCY-RESPONSE PURPOSE. YOU USE THE APP AT YOUR OWN RISK.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE
MAY NOT APPLY TO YOU.

14. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LLAPS DIGITAL AND ITS AFFILIATES,
LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF
PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR
USE OF OR INABILITY TO USE THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH
DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT
OF OR RELATING TO THE APP OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE
AMOUNT YOU PAID US FOR THE APP IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B)
TWENTY-FIVE U.S. DOLLARS (USD 25). SOME JURISDICTIONS DO NOT ALLOW CERTAIN
LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Llaps Digital and its
affiliates, officers, and employees from and against any claims, liabilities,
damages, losses, and expenses (including reasonable legal fees) arising out of or
related to: (a) Your Content; (b) your use of the App; (c) your violation of these
Terms or any law; or (d) your collection or processing of information about other
individuals, including biometric or face data, without required consents or
authority.

16. TERMINATION
These Terms remain in effect while you use the App. You may stop using the App at
any time and may delete Your Content by removing it within the App or by
uninstalling the App. We may suspend or terminate your license if you violate
these Terms or if we discontinue the App. Upon termination, the license granted
to you ends and you must stop using the App. Sections that by their nature should
survive (including ownership, disclaimers, limitations of liability,
indemnification, and governing law) will survive termination.

17. APPLE APP STORE TERMS
If you obtained the App through the Apple App Store, you acknowledge that these
Terms are between you and Llaps Digital only, and not with Apple. Apple is not
responsible for the App or its content. Apple has no obligation to provide
maintenance or support for the App. In the event of any failure of the App to
conform to any applicable warranty, you may notify Apple, and Apple may refund
the purchase price (if any) to you; to the maximum extent permitted by law, Apple
has no other warranty obligation with respect to the App. Apple is not
responsible for addressing any claims relating to the App, including product
liability, legal/regulatory compliance, or intellectual property claims. Apple
and its subsidiaries are third-party beneficiaries of these Terms and may enforce
them against you. You represent that you are not located in a country subject to a
U.S. Government embargo or designated as a "terrorist supporting" country, and
that you are not on any U.S. Government list of prohibited or restricted parties.

18. GOVERNING LAW AND DISPUTES
These Terms are governed by the laws applicable at Llaps Digital's principal
place of business, without regard to conflict-of-laws principles, and you agree
to the exclusive jurisdiction of the courts located there, except where
prohibited by applicable law. Nothing in these Terms limits any mandatory
consumer protection rights you may have in your country of residence.

19. CHANGES TO THESE TERMS
We may update these Terms from time to time. Any changes will be posted within
the App or at this location, and the "Last Updated" date will be revised
accordingly. Your continued use of the App after changes are posted constitutes
your acceptance of the updated Terms. If you do not agree to the updated Terms,
you must stop using the App.

20. MISCELLANEOUS
These Terms, together with the Privacy Policy, constitute the entire agreement
between you and us regarding the App and supersede any prior agreements. If any
provision is held unenforceable, the remaining provisions will remain in effect.
Our failure to enforce any provision is not a waiver. You may not assign these
Terms without our consent; we may assign them in connection with a merger,
acquisition, or sale of assets.
